Terms and Conditions

Please read the following terms and conditions carefully if you wish to buy any products or services through Kingsmen LLC. By accepting this quote, then you are agreeing to the following terms and conditions.

Not included:

This quote does not include, unless noted otherwise, any undisclosed products, materials, or records. It also does not include any specialized tools or materials that may be needed that have not been listed or disclosed by the customer. These items include, but not limited to, aerial lifts, safety gear, training, ladders, ground shoring equipment, heavy equipment, excavation equipment, jack hammers, pneumatic tools or compressors, or fall restraint systems. If work cannot be performed due to undisclosed requirements, the customer will be responsible to pay Kingsmen LLC for lost time and travel. Unless specifically called out on page one of the quote sheet no modified or new system maps or drawings will be provided. This includes further engineered drawings, take-offs, or "as built" design drawings. Kingsmen does not provide provisioning or direct BMS/BAS integration, but does provide tie-in points when specified.

Payment Terms:

Payments may be made by cash, check, or credit card. Payment terms are Net 30 unless noted otherwise. There will be a 3% credit card fee if not paid within 10 days of invoice submittal. Any products or design drawings will not be released or shipped until a PO has been received. There is a $100 penalty, paid to Kingsmen LLC, for all insufficient funds (aka - bounced) checks. This does not include any fees your bank may also impose upon you or your company.

Limitation of Liability:

Kingsmen LLC works hard to provide the best products we can to meet the needs of our customers. Our products, however, are provided "as is" and must be used in the intended way along with the correct method of installation. We cannot control what others due to our products after installation, and any changes to the design, installation practices, or the product being used outside of its intended use is not covered by the manufacturer warranty or Kingsmen. If the customer is installing the equipment the customer assumes all liability and acknowledges there is no warranty written or expressed for labor, materials, or parts, beyond manufacturer warranty, and Kingsmen LLC is not responsible for any inaccurate methods of installation or use. Though Kingsmen LLC can and will provide feedback on the leak and gas detection systems including, but not limited to, the location of sensors, type of cable, and type of alarming, the final decision will always be based on the design and approval of the customer. It is the customer's responsibility to know their local, state, and federal laws. Kingsmen LLC assumes no responsibility for the installation and use of supplied products by the customer or their affiliates.

Area of Legal Authority:

By accepting this quote you agree to the following terms. These terms shall be deemed to have been executed in the State of Kentucky and shall be interpreted, construed and enforced according to the laws of the State of Kentucky, without giving effect to any conflict of laws or provisions. Each party expressly submits themselves to the exclusive, personal jurisdiction of the federal and state courts situated in Campbell County, Kentucky.
